1. Overview

This Service Agreement ("Agreement") outlines the standard terms of service delivery between Zonefifty ("Agency") and our clients ("Client"). By engaging our services for Digital Marketing, SEO, Web Development, or Design, the Client agrees to these standard terms unless a separate, custom contract is explicitly signed by both parties.

2. Scope of Work & Deliverables

The specific scope of work, including deliverables, timelines, and project phases, will be outlined in a formal Statement of Work (SOW), Proposal, or Invoice provided to the Client prior to the commencement of any project. Any requests falling outside the agreed scope will be subject to additional billing and schedule adjustments.

3. Payment Terms

Upfront Deposits: For one-off projects (e.g., Web Development, Branding), a non-refundable upfront deposit of 50% is strictly required before work commences. The remaining balance is due upon project completion or prior to the handover of final assets/launch.
Retainer Services: Ongoing services (e.g., SEO, Social Media Marketing, PPC) are billed on a monthly retainer basis. Payments are due on the 1st of each billing cycle. Failure to pay within 7 days may result in an immediate pause of campaigns.
Ad Spend: The Client is solely responsible for all third-party advertising spend (Google Ads, Meta Ads, etc.) billed directly by the platform, unless explicitly managed within a pre-funded agency account.

4. Client Responsibilities

The successful and timely completion of our services often depends on the Client providing necessary access, assets, and approvals. The Client agrees to:

Provide timely feedback and approvals on design drafts and campaigns.
Supply necessary brand assets, passwords, and access to platforms (Hosting, CMS, Social Media accounts) promptly.
Understand that project delays caused by a lack of Client response will result in pushed deadlines.

5. Revisions and Alterations

Our design and development projects include a specified number of revision rounds (typically 2 rounds) during the drafting phase. Further revisions requested after the approval of final designs, or exceeding the allocated rounds, will be billed at our standard hourly rate.

6. Cancellations and Refunds

If the Client wishes to terminate an ongoing retainer service, a 30-day written notice is required. For one-off projects, deposits are non-refundable to cover the initial time and resources committed. If a project is cancelled mid-way, the Client will be billed for the proportionate amount of work completed up to that point.

7. Intellectual Property

Upon full and final payment, the Client assumes ownership of the final deliverables (e.g., custom website code, final logo files). Zonefifty retains the right to display the completed work in our portfolio and marketing materials unless a Non-Disclosure Agreement (NDA) is signed. We do not release raw, working files (e.g., layered PSDs, unedited video projects) unless explicitly agreed upon for an additional fee.

8. Warranties & Liability

Zonefifty provides services "as is" without warranties of any kind, whether express or implied. While we employ industry best practices for SEO and Digital Marketing, we do not guarantee specific rankings, traffic volumes, or sales results due to the unpredictable nature of third-party algorithms (e.g., Google, Meta). Our liability in any dispute shall not exceed the total amount paid by the Client to the Agency for the specific project in question.

9. Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the courts located in Coimbatore, Tamil Nadu.
